1. Eligibility

To use Tempo, you must:

• Be at least 18 years old.
• Have the legal authority to enter into these Terms.
• Be a business entity or individual operating a legitimate business.
• Have a valid TikTok Shop account (for features requiring TikTok integration).

By using the Service, you represent and warrant that you meet these requirements.

2. Account Registration

2.1 Account Creation

You must create an account to use Tempo. You agree to:

• Provide accurate, complete, and current information.
• Maintain the security of your login credentials.
• Promptly update your information if it changes.
• Accept responsibility for all activities under your account.

2.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials. Notify us immediately at privacy@tempoapp.ai if you suspect unauthorized access to your account.

3. Service Description

Tempo is a TikTok Shop analytics and creator management platform that provides:

• Analytics Dashboards: Performance metrics, GMV tracking, and sales data visualization.
• Creator Management: Tools to manage affiliate creators, track their performance, and organize relationships.
• Reporting: Invoice generation, earnings calculations, and exportable reports.
• Data Sync: Integration with TikTok Shop API to retrieve and display your shop data.

Features may vary based on your subscription plan and may be updated over time.

4. TikTok Shop Integration

4.1 Authorization

Tempo integrates with TikTok's Shop API. By connecting your TikTok Shop account:

• You authorize us to access your shop data as permitted by TikTok's API.
• You represent that you have the authority to grant this access.
• You agree to comply with TikTok's Terms of Service and policies.

4.2 Data Access

We access only the data necessary to provide the Service. You can revoke access at any time through your TikTok Shop settings, though this will limit the functionality of Tempo.

4.3 No TikTok Endorsement

Tempo is an independent service and is not endorsed, sponsored, or affiliated with TikTok. TikTok® is a trademark of ByteDance Ltd.

5. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose or in violation of any laws.
• Access data of shops or accounts you don't own or have authorization to manage.
• Attempt to reverse engineer, decompile, or hack the Service.
• Interfere with or disrupt the Service or servers.
• Use automated scripts or bots to access the Service without permission.
• Share your account credentials with third parties.
• Resell or redistribute the Service without authorization.
• Use the Service to harm, harass, or defraud others.
• Violate TikTok's Terms of Service or API policies.

We reserve the right to suspend or terminate accounts that violate these rules.

6. Fees and Payment

6.1 Pricing

Access to Tempo may require payment of fees based on your selected plan. Current pricing is available on our website or as communicated during onboarding.

6.2 Payment Terms

• Fees are billed in advance on a monthly or annual basis.
• All payments are non-refundable except as required by law.
• You authorize us to charge your payment method for recurring fees.
• Failure to pay may result in suspension or termination of your account.

6.3 Price Changes

We may change our fees with 30 days' notice. Continued use after a price change constitutes acceptance of the new fees.

7. Intellectual Property

7.1 Our IP

Tempo, including its design, features, code, and content, is owned by Drinkard Ecom LLC and protected by intellectual property laws. You may not copy, modify, or distribute our Service without permission.

7.2 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us a non-exclusive, royalty-free license to use and incorporate that feedback without obligation to you.

8. Data Ownership

8.1 Your Data

You retain ownership of your business data, including TikTok Shop data synced to Tempo. We do not claim ownership of your data.

8.2 License to Us

You grant us a limited license to use, process, and display your data solely to provide and improve the Service.

8.3 Aggregated Data

We may create anonymized, aggregated data from usage of the Service. This aggregated data does not identify you and may be used for analytics, research, and improvement of our services.

9. Disclaimers

We disclaim all warranties, including:

• Merchantability and fitness for a particular purpose.
• That the Service will be uninterrupted, error-free, or secure.
• That data from TikTok's API will be accurate or complete.
• That the Service will meet your specific requirements.

We are not responsible for TikTok's API availability, changes, or data accuracy. TikTok may modify or discontinue their API at any time, which may affect our Service.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• Drinkard Ecom LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
• Our total liability for any claims arising from the Service shall not exceed the amount you paid us in the 12 months preceding the claim.
• We are not liable for any loss of data, profits, or business opportunities.

Some jurisdictions do not allow these limitations, so they may not apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless Drinkard Ecom LLC and its officers, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of the Service.
• Your violation of these Terms.
• Your violation of any third-party rights.
• Your violation of TikTok's Terms of Service.

12. Termination

12.1 By You

You may cancel your account at any time by contacting us or through your account settings. Upon cancellation, you will lose access to the Service at the end of your billing period.

12.2 By Us

We may suspend or terminate your account if:

• You violate these Terms.
• You fail to pay fees when due.
• Required by law or TikTok's policies.
• We discontinue the Service (with reasonable notice).

12.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. We may delete your data within 30 days of termination, unless retention is required by law.

13. Modifications

We may modify these Terms at any time. We will notify you of material changes by:

• Posting the updated Terms with a new "Last Updated" date.
• Sending notice via email or in-app notification.

Continued use after changes constitutes acceptance. If you disagree with changes, you must stop using the Service.

14. Governing Law

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Collin County, Texas.
